Terms and Conditions
	To be an authorized affiliate of Fastencil Inc. (also referred to as Fastencil, Fastencil.com or Balltattoo.com), you (also referred to as the member affiliate or affiliate) agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using Fastencil Inc. as an affiliate. By signing up for the Fastencil affiliate program, you indicate your acceptance of this agreement and its terms and conditions. Fastencil Inc. pays affiliates a 25% commission based upon the paid retail selling price of the purchased goods before tax and excluding returns. A 10% commission will be paid for 2nd tier sales generated by affiliates. The affiliate program does not include wholesale or distributor sales or sales of products intended to be resold at retail. Payment Schedule: Affiliate payout is accrued to your account when we receive payment from the customer. Payment is sent out around the 15th of each month for affiliate payout accrued during the previous calendar month. There is a minimum payment of $100.00 that must accrue before payout. Qualifying Products/Payments: Payments that qualify for affiliate payout are based on any sales from our shopping cart for which a customer signs up online, and for which Fastencil Inc. has received full payment which is not refunded to, or disputed by, the customer. Customer Refunds and Payment Disputes: In the event that a customer receives a refund, charges back fees, or rescinds payment by any method, your account will be adjusted accordingly. If your affiliate account balance becomes negative you will be billed, and agree to pay, the balance. Note to affiliates outside the United States: Payments are in US Dollars. Affiliates may choose to be compensated via PayPal in order to take advantage of PayPal's currency conversion features. You are solely responsible for converting payments into your local currency. Fastencil tracking and reporting: Fastencil will attempt to track and assign credit for referrals who sign up for a period of six months after following an affiliate referral link. We will be solely responsible for tracking customers and assigning credit. Reports of referral activity will be provided via the Affiliate Control Panel. In the event that a customer follows multiple affiliate referral links, credit will go to the first affiliate who's link was followed. Successful tracking of sales depends on your using the links provided by the Control Panel. Usage of any other links may result in referrals that are not credited to your account. Advertising: You are free to place as many links/adverts/banners on your affiliate website to Fastencil Inc. products as you wish. You are free to promote the link or links to Fastencil.com or Balltattoo.com as you see fit on your website. Things such as banners, text links, reviews and emails sent to Opt In clients are fine. However, the use of any kind of SPAM (including email and newsgroup spamming), or offering any of Fastencil products, services or affiliate program on any WAREZ, CRACK, ADULT, HATE or INTOLERANCE oriented site, will result in your account being immediately terminated by Fastencil Inc. Any Fees not paid up to the point of termination will not be paid to you and will be property of Fastencil Inc.. Independent Contractors: Participant of Fastencil Inc. affiliate program are independent contractors and nothing in this agreement is intended to or will create any form of partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties. In advertising Fastencil Inc or its products you must not violate anyone's copyrights, trademarks, or other intellectual property. You, the Affiliate, are granted a non-exclusive, limited, revocable right to use provided trademarks and banners. All images, technology and content provided for your use is and shall remain the sole property of Fastencil Inc, and no part thereof shall be deemed assigned or licensed to you except as explicitly provided for herein. All intellectual property rights, including trademarks, copyrights, patent rights or applications, trademarks, trade names and service marks related to the foregoing shall remain the Fastencil Inc. sole property, including rights in and to any derivatives thereof. You may not modify the trademarks, or the content or any of the packaging images provided to you in any way. Fastencil Inc may immediately terminate your license to use the marks if Fastencil Inc. reasonably believes that such use dilutes, tarnishes or blurs the value of their marks. You acknowledge that your use of the marks will not create in you, nor will you represent that you have, any right, title or interest in or to the marks other than the license granted by Fastencil Inc. You will not challenge the validity of or attempt to register any of the marks or your interest therein as a licensee, nor will you adopt any derivative or confusingly similar names, brands or marks or create any combination marks with the marks. You acknowledge Fastencil ownership and exclusive right to use the marks and agree that all goodwill arising as a result of the use of the marks shall inure to the benefit of Fastencil Inc. Service Prices and Availability: Fastencil Inc. has the sole right to set both prices and affiliate fees and to change these with or without notice to anyone. The fee you receive will be the one assigned to your account or shown in your Control Panel. Fastencil Inc. can add and withdraw products at any time. As a courtesy, Fastencil Inc. will attempt to inform affiliates via email of major changes to products, prices and fees. All of the rules of Fastencil Inc. regarding customer orders will apply to orders we receive from visitors referred from your affiliate website. Fastencil Inc. reserves the right to reject any order. Fastencil Inc. will be solely responsible for processing orders placed by customers, including those who follow a special link from your affiliate website. On NO ACCOUNT are you authorized to collect payments on behalf of Fastencil Inc. or to offer technical support or customer service on behalf of Fastencil Inc. Your role as an affiliate is to refer visitors to Fastencil Inc. by using the special links we provide. You are not an employee or representative of Fastencil Inc. Fastencil Inc. is not responsible for any representations made by the Affiliate Member which contradict our policies. Website service interruption: Fastencil Inc. will make every effort to keep its website operational. In the event of any interruption of service, for whatever reason, the Affiliate Member agrees not to hold Fastencil Inc. liable for any of the consequences of such interruptions. The agreement may be modified: Fastencil Inc. reserves the right to change any of the terms and conditions in this agreement, at any time and at its sole discretion, with or without notice. Term of this agreement: The Affiliate Member may receive Fees payments on qualifying orders that are placed during the term of this agreement. This term will begin on the date that your application is approved by Fastencil Inc. and shall end when canceled by either party as provided below. Fees earned through the date of expiration or cancellation of this agreement will remain payable only if the products are not returned or canceled from their orders. Payment of the final Fees payment to the Affiliate Member may be withheld for a reasonable time in order to ensure that the correct amount is paid. Cancellation of this agreement: Either Fastencil Inc. or the Affiliate Member, acting in their sole discretion, may choose to cancel this agreement at any time by written or confirmed email notice of cancellation to the other. Violation of this agreement: If the Affiliate Member violates this agreement, commits fraud or another illegal activity, it is at the sole discretion of Fastencil Inc. to disclose any information it deems neccessary. Any attempt to defraud Fastencil Inc. or any other person by misuse of this scheme will result in immediate termination of the agreement and possible legal action. Misuse of this scheme includes but is not limited to: credit card fraud of any kind, abuse of the Fastencil Inc. services, and violation of Fastencil Inc. policies, and purchasing or having a third party purchase product and then requesting a refund after having received the commission. Indemnification and limitation of damages: Fastencil Inc. shall have no liability for any damages or any loss of revenue or profits arising under or with respect to this agreement or the program, directly or indirectly, under any circumstances. Further, you agree to indemnify and hold harmless Fastencil Inc. from any claims or demands whatsoever, and from all costs, damages, expenses, charges, debts and liabilities whatsoever, whether known or unknown, present or future, that arise. Waiver: Waiver by one party hereto of breach of any provision of this Agreement by the other shall not operate or be construed as a continuing waiver. In the event of such waiver, the remainder of this Agreement shall remain in full force and effect. The parties acknowledge and agree that submission of application and acceptance of this agreement will be completed either online or by electronic mail. Parties waiver their rights to a written and signed copy of this Agreement. Assignability: Affiliate or Fastencil Inc. may assign this Agreement to any successor or affiliate upon notice to the other party and mutual agreement between both parties. Force Majeure: Neither party shall be liable hereunder by reason of any failure or delay in the performance of its obligations hereunder on account of strikes, shortages, riots, insurrection, fires, flood, storm, explosions, acts of God, war, governmental action, labor conditions, earthquakes or any other cause which is beyond the reasonable control of such party. Disclaimers: We make no express or implied warranties or representations with respect to the Affiliate Program or your potential to earn income from the Affiliate Program. Mediation & Arbitration: If a dispute arises under this agreement, we agree to first try to resolve it with the help of a mutually agreed-upon mediator in the following location: Los Angeles, California. Any costs and fees other than attorney fees associated with the mediation will be shared equally by each of us. If it proves impossible to arrive at a mutually satisfactory solution through mediation, we agree to submit the dispute to binding arbitration at the following location: Los Angeles, California. Judgment upon the award rendered by the arbitration may be entered in any court with jurisdiction to do so. Mediation costs will be shared equally by each of us. Affiliate Pivacy Policy: Fastencil Inc. respects the privacy of its Affiliates and promises not to disclose personal or business information to third parties without the express permission of you and your company. We will not sell your name, e-mail address, phone number, or any other personal information to anyone else. We consider this information to be private, and it will remain as such. If you have any questions about your privacy rights, contact us via email or phone. Choice of Law: The laws of the state of California, in the United States, shall govern the validity of this Agreement, the construction of its terms and the interpretation of the rights and duties of the parties hereto.
